01. Who we are and acceptance
1.1. These Terms and Conditions (the “Terms”) govern your use of Kiroa, a website, content management and events platform for hotels, venues and travel businesses (the “Service”). Kiroa is a product of Honne Technologies Ltd (“Kiroa”, “we”, “us”, “our”), a company limited by shares incorporated in Northern Ireland under company number NI703624, whose address is 37 Letter Road, Aghnablaney, Leggs, Enniskillen, Fermanagh, BT93 2BB.
1.2. You accept these Terms by ticking the acceptance box when you create your account, or by using the Service. We record the version of the Terms you accepted and the date. The contract between you and us (the “Contract”) starts when your first payment is confirmed.
1.3. These Terms apply to the exclusion of any other terms that you seek to impose or incorporate, or which are implied by trade, custom, practice or course of dealing. Our Privacy Policy, our Data Processing Terms (clause 10) and any quote we accept in writing (clause 4) form part of the Contract.
1.4. The Service is offered to businesses only. By accepting these Terms you confirm that you act for purposes relating to your trade, business or profession, and that you have authority to bind the business named in your account.
1.5. You acknowledge that in entering into the Contract you are not relying on any representation or warranty that is not set out in writing in these Terms. All warranties and conditions, whether express or implied by statute, common law or otherwise (including those implied by sections 12 to 16 of the Supply of Goods and Services Act 1982 and sections 13 to 15 of the Sale of Goods Act 1979), are excluded to the fullest extent permitted by law.
1.6. Language. These Terms are written in English. We may provide translations for convenience; if a translation differs from the English version, the English version prevails.
1.7. Sanctions. You confirm that you, your business and anyone who owns or controls it are not located in a country or region subject to comprehensive UK, EU, UN or US sanctions, and are not named on any sanctions list. You will not make the Service available to anyone who is. If we reasonably believe this is not true, we may suspend or end the Contract immediately.
1.8. Existing agreements. If you have a separate written agreement with us (for example, because you were a customer before self-serve signup was available), that agreement prevails where it differs from these Terms.
02. Definitions
- “Account” means the business workspace created at signup, including its admin panel at be.kiroa.io.
- “Account Owner” means the team member with the owner role, who manages billing and team access.
- “Customer Content” means any text, images, files, menus, prices, forms, templates and other material that you or your team upload or create in the Service.
- “Guest Data” means personal data of your guests, clients and website visitors processed through the Service, such as enquiries, form submissions, customer records and event bookings.
- “Plan” means the Kiroa subscription described on kiroa.io/pricing at the time you subscribe, billed monthly or annually.
- “Website” means the public website for your business served by the Service, on a Kiroa subdomain or on your own domain.
- “Template” means a design from our catalogue, or a bespoke design we build for you, that controls the layout and look of your Website.
- “Setup Service” means the optional “We build it for you” service described in clause 4.
- “Third-Party Services” means services provided by someone other than us that the Service connects to, such as Stripe, Honne or your domain registrar.
03. The Service
3.1. The Plan includes your Website and content management system, the Events module (enquiry board, public forms and staged payments), Customers, and any further modules we add to the Plan from time to time. Modules marked “Coming soon” are not part of the Service until we release them.
3.2. We grant you a non-exclusive, non-transferable licence, for the duration of the Contract, to use the Service for your normal business purposes and to allow your team members to do the same.
3.3. Fair use limits. The Plan is designed for one business and includes up to 5 team members, 2 Website languages, 5 GB of media storage and 1 custom domain. If your use goes above these limits we will contact you before taking any action, and we may ask you to reduce your use or agree a different price.
3.4. One Account covers one business. A second business needs its own Account and Plan, even if the same person signs in to both.
3.5. Honne (experiences and chatbot) is a separate product. It is contracted and billed separately, under its own terms, and is not part of the Plan.
3.6. We may update and change the Service from time to time to reflect changes to our products, our customers’ needs and our business priorities. We will not remove a core feature of the Plan (the Website, content management or the Events module) during a paid period without at least 30 days’ notice.
3.7. Early and “Coming soon” features. We may offer features marked as beta, early access or “Coming soon”. They are provided as they are, may change or be withdrawn at any time, and are not covered by clause 3.6 until we release them as part of the Plan.
3.8. AI-assisted features. Where the Service offers AI-assisted features (for example, suggested text or translations), you are responsible for reviewing any output before you publish or send it. We do not use your Customer Content or Guest Data to train AI models. Any provider we use to run these features processes data only on our instructions, as a sub-processor under clause 10.
04. Setup Service and custom design
4.1. Do it yourself. Every Plan includes the setup wizard, a starter kit (event types, a simple enquiry form and starter pages in the languages you choose) and the Template catalogue.
4.2. We build it for you. If you buy the Setup Service, we set up your Website on a Template from our catalogue using the content you send us. The price and what is included are shown on kiroa.io/setup at the time you buy it. We aim to deliver it in about 10 working days from the kickoff call, provided you send the content we ask for on time (clause 4.4). It is a one-off service and is not refundable once work has started (clause 6.6).
4.3. To deliver the Setup Service, you invite a member of our team to your Account from Settings → Team with the admin role (never the owner role). Our staff only access your Account with that invitation and only for the work you have ordered. Removing that invitation is the last step of the delivery, and you can remove it yourself at any time.
4.4. You are responsible for supplying content, images and approvals on time. You confirm that you have the right to use everything you send us. Delays in supplying content extend our delivery time accordingly.
4.5. Custom design. A design made only for you is quoted separately after a call. Once you accept the quote in writing, we invoice 50 % when the work starts and 50 % on delivery. Delivered custom designs are added to your Account as a private Template that is not offered to other customers. Your Plan subscription continues to apply.
4.6. Content we write or adapt for you as part of the Setup Service is a suggestion. You remain responsible for reviewing and approving it before it is published (clause 8).
05. Your Account, web address and domains
5.1. You agree to:
- give accurate, complete and up-to-date information when you create your Account, including your business name, country and address;
- keep the sign-in details of every team member confidential and not share accounts between people;
- give each team member only the role they need, and remove people who leave your business;
- accept responsibility for everything done under your Account; and
- tell us immediately at info@kiroa.io if you know or suspect that someone has unauthorised access to your Account.
5.2. We may disable any sign-in details at any time if, in our reasonable opinion, they have been compromised or you have failed to comply with these Terms.
5.3. Kiroa subdomain. Your Website is first served at an address of the form yourbusiness.kiroa.io. Subdomains are allocated on a first-come basis, cannot be transferred, and can only be changed by our support team. We may refuse or withdraw a subdomain that is misleading, infringes someone else’s rights, impersonates another business, or is reserved for our own use. Websites on a Kiroa subdomain are hidden from search engines; to be indexed, your Website needs your own domain.
5.4. Your own domain. You register and pay for your own domain with a registrar of your choice and remain its owner. You are responsible for renewing it and for the DNS changes needed to point it at the Service. We are not responsible for loss of your domain or for outages caused by your registrar or DNS provider.
5.5. Support access. Our staff do not access your Account unless you invite them as a team member (clause 4.3), or unless access is strictly needed to investigate a security incident, comply with the law or keep the Service running, in which case we limit it to what is necessary and keep a record of it.
5.6. Who owns the Account. The business named in the Account is our customer and owns the Account, its Customer Content and its Guest Data. We act on instructions that we reasonably believe come from the Account Owner. If there is a dispute about who controls the Account (for example, when a team member leaves or the business is sold), we may restrict changes to the Account until the parties agree in writing or a court decides. We are not responsible for losses caused by that restriction.
06. Fees and payment
6.1. The fees for the Plan and the Setup Service are those shown on kiroa.io/pricing when you subscribe or buy. There is no free trial: a payment card is required at signup. Payments are processed by Stripe on our behalf.
6.2. Currency. Your prices are set in pounds sterling (GBP) or euros (EUR) according to the country you give at signup, and stay in that currency for the life of the subscription.
6.3. Taxes. Prices exclude VAT and other applicable taxes, which are added at checkout and shown on your invoice. If you are a business outside the United Kingdom and give a valid VAT number, you may be required to account for VAT yourself under the reverse-charge mechanism.
6.4. Monthly billing. Monthly Plans are billed in advance on the 5th of each month. Your first charge covers the period from signup to the next 5th, calculated pro rata, and is shown before you pay. Monthly Plans have no minimum term.
6.5. Annual billing. Annual Plans are billed in advance for 12 months from the date you subscribe and renew automatically on each anniversary unless cancelled. We will email the Account Owner a reminder at least 14 days before each annual renewal. You can switch from monthly to annual from Settings → Plan & billing; switching from annual to monthly takes effect at the next renewal and is arranged through our support team.
6.6. 30-day guarantee. If you ask us within 30 days of your first payment, we will refund that first payment in full (monthly or annual) and cancel your subscription. A Setup Service fee is refunded only if we have not started the work. This guarantee applies once per business. Apart from this guarantee, and except where the law requires otherwise, fees are not refundable, and cancelling an annual Plan does not give a refund for the unused part of the year.
6.7. Launch price. If you subscribe by 23:59 London time on 31 January 2027 at the launch price shown on kiroa.io/pricing, you keep that price for as long as your subscription stays active, including if you switch from monthly to annual. If your subscription is cancelled and you later subscribe again, the price in force at that time applies.
6.8. Price changes. Apart from the launch price in clause 6.7, we may change the price of the Plan. We will email the Account Owner at least 60 days before a new price applies to them. The new price applies from the first billing period that starts after that notice (for an annual Plan, from the next renewal) and never to a period already paid. We will not change your price more than once in any 12-month period. If you do not agree, you can cancel before the new price applies, at no cost. Prices for new subscriptions, the Setup Service and other services may change at any time.
6.9. Payment details and bank charges. You must keep a valid payment method on the Account. Any fee charged by your bank or card issuer, including for currency conversion, is yours.
6.10. Chargebacks. If you think a charge is wrong, please contact us first at info@kiroa.io. If you dispute a valid charge with your bank instead, we may suspend the Account until the dispute is resolved, and the amount stays due.
07. Late or failed payment
7.1. A failed payment is usually a card problem, not bad faith, and a switched-off website also affects your guests. We therefore escalate slowly, and we never delete your data because of non-payment while the subscription is active or within the retention period (clause 16).
| Days after the first failed payment | What happens |
|---|---|
| 0 to 21 | Stripe retries the payment. You keep full access and see a notice to update your card. |
| 21 | If the payment is still outstanding, the admin panel is paused and only shows the payment screen. Your Website and forms stay online; payment links already sent to your guests keep working, but new ones cannot be created. |
| 21 + 30 (51) | Your Website shows a maintenance page and its forms are closed. |
| 21 + 90 (111) | We may cancel the subscription. Your data is then kept for the retention period in clause 16. |
7.2. Paying the outstanding invoice from the payment screen restores access to the admin panel and the Website as soon as the payment is confirmed. Updating the card alone does not settle an invoice that is already overdue.
7.3. Suspension under this clause does not release you from paying the fees that are due.
08. Your Website and your content
8.1. You are the publisher of your Website. You decide what is published and you are responsible for all Customer Content, whoever in your team created it, and also when we helped prepare it.
8.2. In particular, you are responsible for:
- Legal pages. Publishing your own privacy policy, terms, cookie policy and any legal notice your country requires (for example the company details required in Spain and Ireland). A Website cannot be published without a working link to your privacy policy. Any starter legal page we provide is a template only, is not legal advice, and is used only after you have reviewed and confirmed it.
- Accuracy. Prices, availability, menus, opening times, event packages, allergens, capacities and any other information you show to your guests.
- Cookies and analytics. Choosing whether to add tracking tags (such as Google Tag Manager or Google Analytics). When you do, the Website shows a cookie banner and only loads those tags after a visitor consents; you are responsible for the tags you add and for describing them in your cookie policy.
- Forms and consent. Adding the legal notice and, where you want to send marketing, the marketing consent block to your forms; using marketing consent only for what the visitor agreed to; and honouring any request to stop marketing.
- Guest communications and payments. Emails, quotes and payment requests you send to your guests through the Service, and your own cancellation and refund policies towards them.
- Rights in your content. Holding the licences needed for the text, photos, videos, fonts, logos and music you upload. Images from our starter kit or Templates are licensed for use on your Website only.
- Accessibility. Our Templates are designed to meet WCAG 2.1 AA colour-contrast requirements, and the theme editor will not publish colours that fail them. Images, alt text, documents and other content you add remain your responsibility.
8.3. You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, adapt (for example to resize images or generate translations you request), display and transmit Customer Content, only as needed to provide the Service to you and for the duration of the Contract and the retention period.
8.4. We do not monitor Customer Content before it is published. If we receive a complaint, or become aware that content is unlawful or breaches clause 9, we may remove it or unpublish the affected page, and we will tell you why unless the law prevents us.
8.5. The CMS keeps a version history of your pages. It helps you undo changes, but it is not a backup of your content: keep your own copies of important material, images and documents.
8.6. Reporting illegal content. Anyone can tell us about content on a Website served by Kiroa that they believe is illegal, by writing to abuse@kiroa.io with the exact address of the content, why they believe it is illegal, and their name and email (unless the report concerns child sexual abuse material). We review reports diligently and may remove or restrict the content. When we act, we tell the customer what we did and why, unless the law prevents us, and the customer can ask us to review the decision at the same address. Public authorities can contact us at the same address. Reports that are manifestly unfounded may be ignored, and repeated ones blocked. This is also our point of contact under the EU Digital Services Act.
09. Acceptable use
9.1. You must use the Service for lawful purposes only and in compliance with all applicable laws and regulations. You must not, and must not allow anyone else to:
- publish content that is unlawful, defamatory, discriminatory, obscene, misleading, or that infringes anyone’s intellectual property, privacy or other rights;
- impersonate another business, or use the Service for phishing, fraud, fake bookings or fake reviews;
- send unsolicited marketing, or use forms or emails from the Service to send spam;
- upload malware, or use the Website to distribute files unrelated to your business;
- collect personal data without a lawful basis, or sell or rent Guest Data;
- attempt to gain unauthorised access to the Service, other customers’ Accounts or our systems, or probe, scan or test their vulnerability without our written permission;
- use the Service in a way that could damage, disable, overburden or disrupt our servers or networks, including automated scraping or excessive requests;
- copy, adapt, reverse engineer, decompile, disassemble or modify the Service, except to the extent the law allows this and cannot be excluded; or
- resell, sub-license or provide the Service to third parties, or use it to build a competing product.
9.2. If we reasonably believe that your use breaches this clause and puts the Service, other customers, your guests or third parties at risk, we may suspend the affected part of your Account immediately. In other cases we will first ask you to fix the problem within a reasonable time.
9.3. Emails sent through the Service. Quotes, replies and other messages you send to your guests through the Service must comply with e-privacy and marketing law (including PECR in the UK and the ePrivacy rules of the EU country concerned). Marketing messages may only go to people who agreed to receive them and must offer a way to unsubscribe. If complaints, bounces or spam reports put the delivery of emails for other customers at risk, we may pause email sending from your Account while we look into it.
9.4. We may also suspend an Account immediately if you or your team harass, threaten or abuse our staff.
10. Data protection
10.1. Your guests’ data. For Guest Data you are the controller and we are your processor under the UK GDPR, the EU GDPR and the Data Protection Act 2018, as applicable. We process Guest Data only on your documented instructions, which are these Terms and your use of the Service, and for no other purpose. The Data Processing Terms in Annex A (Data Processing Terms) form part of the Contract.
10.2. As your processor, we:
- keep Guest Data separate from other customers’ data and restrict access to staff who need it;
- ensure that everyone who processes it is bound by confidentiality;
- apply appropriate technical and organisational security measures, including encryption in transit and access controls;
- use only the sub-processors listed in clause 10.4, under written terms that offer at least the same protection, and give you at least 30 days’ notice by email before adding or replacing one, so that you can object;
- protect any transfer outside the UK or the EEA with an adequacy decision, the UK International Data Transfer Agreement or the EU Standard Contractual Clauses;
- help you respond to requests from individuals exercising their rights, and with security, impact assessments and consultations with regulators;
- notify you without undue delay, and within 48 hours where possible, after becoming aware of a personal data breach affecting Guest Data; and
- delete or return Guest Data at the end of the Contract as set out in clause 16.
10.3. You are responsible for having a lawful basis for the Guest Data you collect, for the privacy information you give your guests, and for the instructions you give us.
10.4. Sub-processors. We currently use the sub-processors below. Your data is stored in the European Union (Ireland). Transfers outside the UK or the EEA are protected as described in clause 10.2. We will email the Account Owner at least 30 days before adding or replacing a sub-processor; if you object on reasonable data protection grounds and we cannot address it, you may cancel without charge.
| Sub-processor | Purpose | Location |
|---|---|---|
| Supabase | Database, authentication and file storage | EU (Ireland) |
| Vercel | Website and admin hosting | [to confirm] |
| Stripe | Subscription billing and, if you connect it, guest payments | [to confirm] |
| Resend | Transactional email | [to confirm] |
| Upstash | Cache | [to confirm] |
| Cloudflare | Bot protection on forms | [to confirm] |
| [AI provider] | AI-assisted features (clause 3.8), when available | [to confirm] |
10.5. Your team’s data. We are the controller of the personal data of your team members, and of the data needed to manage your Account and billing. Our Privacy Policy explains how we use it.
10.6. We may use aggregated, anonymised information about how the Service is used (for example, how many enquiries are created) to run and improve it. It never identifies you, your team or your guests.
11. Third-Party Services
11.1. Guest payments. To take payments from your guests you connect your own Stripe account from Settings. You are the seller to your guests and the contract for those payments is between you, your guests and Stripe, under Stripe’s terms. We are not a party to it, we do not hold your guests’ money, and we are not responsible for chargebacks, disputes, refunds or fees charged by Stripe.
11.2. Other integrations. When you connect a Third-Party Service (for example Honne, Google Tag Manager, Google Analytics, Google Search Console or your domain registrar), its own terms apply to your use of it. We are not responsible for its availability, for changes it makes to its service, or for how it uses the data you share with it.
11.3. No agency. Nothing in these Terms makes us your agent or authorises us to enter into any commitment on your behalf, including with your guests or suppliers.
12. Availability, security and backups
12.1. We use reasonable care and skill to keep the Service available and secure, but we do not guarantee that it will be uninterrupted, error-free or free from attack. There is no service-level agreement or service credit under the Plan.
12.2. We may carry out planned maintenance. Where it is likely to interrupt your Website or admin panel, we will try to do it at times of low use and tell you in advance.
12.3. Our hosting providers keep regular backups of the Service for disaster recovery. They are not intended to restore individual pages, files or entries on request, and we do not guarantee that a particular version can be recovered.
12.4. You are responsible for the security of the devices and connections your team uses to access the Service, and for the strength of their passwords.
12.5. To the fullest extent permitted by law, we are not liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other harmful material that may affect your equipment, data or Customer Content because of your use of the Service.
12.6. To protect the Service, we may take reasonable technical measures at any time, such as blocking abusive traffic, applying rate limits or changing configuration, including on your Website. Where a measure affects your Website for more than a short period, we will tell you.
13. Intellectual property and Templates
13.1. The Service, including its software, Templates, design system, documentation and the Kiroa name and logo, belongs to us or our licensors and is protected by intellectual property laws. You have no rights in it other than the licence in clause 3.2.
13.2. You keep all rights in your Customer Content, your brand, your logo and your domain.
13.3. Catalogue Templates may be used by other customers. A custom design (clause 4.5) is used only for your Account; unless your quote says otherwise, we keep the rights in its code and the reusable components it is built from, and you receive a licence to use it on your Website for as long as your subscription is active.
13.4. If you send us suggestions or feedback about the Service, we may use them freely and without any obligation to you.
13.5. We will only name your business or show your Website as an example of our work with your prior written permission (an email is enough). You can withdraw that permission at any time by writing to info@kiroa.io.
14. Limitation of liability
14.1. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.
14.2. Subject to clause 14.1, we are not liable, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution or otherwise, for any loss of profit, revenue, bookings, business, opportunity, goodwill or anticipated savings, for loss or corruption of data, or for any indirect or consequential loss.
14.3. Subject to clause 14.1, our total liability arising under or in connection with the Contract in any 12-month period is limited to the fees you paid us for the Service in the 12 months before the event giving rise to the claim.
14.4. We provide information and guidance when providing the Service, based on the information available to us at the time. It is your decision whether to follow it. We are not responsible for the consequences of inaccurate, incomplete or misleading information that you give us.
14.5. This clause 14 survives the end of the Contract.
15. Indemnity
You will indemnify us against any claims, losses, damages and reasonable costs (including legal fees) arising from Customer Content, from your dealings with your guests, or from your breach of clause 8, clause 9 or data protection law. We will tell you promptly about any such claim and let you take part in its defence.
16. Term, cancellation and your data
16.1. The Contract continues month to month, or year to year, until it is cancelled.
16.2. Cancelling. The Account Owner can cancel at any time from Settings → Plan & billing → Manage subscription. Cancellation takes effect at the end of the period already paid for; until then the Service keeps working, and you can resume the subscription before that date.
16.3. Termination by us. We may end the Contract:
- on 30 days’ written notice, for any reason, refunding any fees already paid for the period after the end date;
- immediately, if you seriously breach these Terms (including clause 9) and, where the breach can be remedied, fail to remedy it within 14 days of our request; or
- as set out in clause 7, if fees remain unpaid.
16.4. Either party may end the Contract immediately if the other becomes insolvent, enters administration or liquidation, or stops trading.
16.5. When the Contract ends, your Website goes offline, team members lose access, and any payment links sent to your guests stop working. Your Kiroa subdomain may be released for other customers after the retention period. You keep your own domain.
16.6. Retention and export. We keep your Account data for 90 days after the Contract ends. During that time you can ask us at info@kiroa.io for an export of your Customer Content and Guest Data in a commonly used format, or subscribe again and recover everything as it was. After 90 days we delete it, and we will email the Account Owner before we do. Copies in disaster-recovery backups are overwritten in the normal backup cycle. We may keep invoices and billing records for as long as tax law requires.
16.7. Clauses that by their nature should continue after the end of the Contract, including clauses 7.3, 10, 13, 14, 15, 16.6 and 19, survive it.
17. Changes to these Terms
17.1. We may change these Terms. For a change that materially affects you, we will email the Account Owner at least 30 days before it takes effect. If you do not agree, you can cancel before that date and, for an annual Plan, receive a refund for the unused months. If you keep using the Service after that date, you accept the new Terms.
17.2. Changes needed to comply with the law, or that do not reduce your rights (for example a new feature or clearer wording), may take effect immediately.
18. General
18.1. Events outside our control. Neither party is liable for any delay or failure to perform its obligations caused by events beyond its reasonable control, including acts of God, governmental action, war, fire, flood, explosion, civil commotion or failure of public networks or of a major hosting provider. This does not excuse you from paying the fees that are due.
18.2. Assignment. You may not assign or transfer the Contract without our written consent. We may assign or transfer it, for example as part of a sale or reorganisation of our business, by giving you written notice, provided this does not reduce your rights.
18.3. Notices. We send notices to the email address of the Account Owner. You send notices to info@kiroa.io or to our postal address.
18.4. Whole agreement. The Contract is the whole agreement between us about the Service. If a court finds any part of it invalid, the rest continues to apply. A delay in exercising a right is not a waiver of it. No one other than you and us has any right to enforce these Terms.
19. Governing law and disputes
19.1. The Contract and any dispute or claim arising out of or in connection with it, its subject matter or formation (including non-contractual disputes or claims) are governed by the law of Northern Ireland.
19.2. Both parties will first try to resolve any dispute through good-faith negotiation. If it is not resolved within 30 days, the courts of Northern Ireland have exclusive jurisdiction.
